Terms and Conditions

PLEASE READ THIS DOCUMENT CAREFULLY! IT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.
This Agreement contains the terms and conditions that apply to your purchase from TechRack Systems of Dallas, Texas, the entity named on the invoice ('TechRack') that will be provided to you ('Customer') on orders for products sold in the United States. Customer agrees to be bound by and accepts these terms and conditions. These terms and conditions apply (i) unless the customer has signed a separate formal purchase agreement with TechRack, in which case the separate agreement shall govern; or (ii) unless other TechRack standard terms apply to the transaction. These terms and conditions are subject to change without prior written notice at any time, in TechRack's sole discretion.

Payment Terms, Orders, Quotes, and Interest

Terms of payment are within TechRack's sole discretion, and unless otherwise agreed to by TechRack, full payment must be received by TechRack prior to TechRack's acceptance of an order. Payment by Customer for the products, shipping and applicable taxes will be made by credit card to TechRack. Orders are not binding upon TechRack. Any quotations given by TechRack will be valid for the period stated on the quotation. Customer agrees to pay interest on all past-due sums at the highest rate allowed by law.

Sales Tax

Unless Customer provides TechRack with a valid and correct tax exemption or resale certificate applicable to the product ship-to location prior to TechRack's acceptance of the order, the Customer is responsible for sales tax and all other taxes associated with the order and purchase. For all orders that are shipped to Texas, we are required to charge Texas State Sales Tax. In other states, we might be required to charge sales tax. If applicable, a separate charge for taxes will be shown on TechRack's invoice.

Shipping Policy

We attempt to ship all of our items in the most efficient, least costly, and safest way. We use UPS ground when we can, and for large shipments, any number of Truck Carriers (e.g. FedEX Freight, Old Dominion Freight Lines, etc.). Separate charges for shipping and handling will be shown on TechRack’s invoices and is not included in the price of the product.

Since we ship a wide variety of products (e.g. from large cabinets to smaller items) it is difficult to quote a shipping price until we know the items you are ordering and the destination. Thus we suggest that you contact us by e-mail or phone once you have determined what items that you need. We will gladly send you a PROPOSAL, including shipping costs.

To determine shipping costs accurately, please provide us with: your destination ZIP Code; if you have a truck loading dock; if you require inside delivery, lift-gate truck service, any other special services, or if the items are going to a residential delivery address. These all have a bearing on the freight costs.

F.O.B. Point

We ship F.O.B. Origin. F.O.B. Origin means that once the merchandise is picked up by the transportation company and is in transit to you, the ownership of the merchandise transferred from TechRack to you, the customer. The transportation company is responsible for the safe delivery of your merchandise from the time it leaves our appointed dock to the time it arrives at your destination.

Ordinarily, we prepay the freight charge and add it to your invoice. In certain instances, we are able to ship with freight charges billed directly to the consignee's valid account with the common carrier of consignee's choosing.

Damages in Shipping

In the unlikely event that your merchandise arrives damaged, mark all shipping documents “ damaged in transit” along with a description of the damage. You, as the buyer, owner and recipient of the merchandise, are solely responsible for filing a freight claim against the transportation company and receiving compensation from them. It is therefore most important that you inspect all items and note any damage or shortage on the freight documents before you accept the shipment and before the driver leaves your destination. If no damage or shortage is so noted, then you are signing that you are accepting the shipment in good condition and in its entirety and no future claims can be made.

You must notify the transportation company within 10 days of receipt and file a freight claim with them. Keep all original cartons, outside wrappings, the damaged items and photographic evidence for the transportation company to visually inspect as part of your claim. You may refuse to accept a damaged shipment if you write “refused - damaged in transit” on the freight document. “Concealed Damage”, which is damage that can only be seen after outside wrappings have been removed, must be found and claimed to the transportation company within10 days from the receipt of merchandise. The final settlement for any damage or shortage is between you and the transportation company.

Returns and Order Cancellation

Please contact us to determine if a product can be returned and to receive a Return Merchandise Authorization (RMA). Returns are allowed only within 10 days of receipt of goods.

There will be a 25% restocking charge on all returned products, plus you are responsible for shipping costs in both directions. Only items that have not been used and are in their original cartons may be returned, if an RMA has been issued to you. The return must be sent on a freight prepaid basis. When we receive the merchandise back, it will be inspected and determined, solely by us, if the product can be resold in new condition and if credit can be given, less the restocking fee. Merchandise that is damaged in transit cannot be credited and we cannot accept any returns without an RMA number or if the merchandise is sent freight collect or not in the original cartons. Since custom-built or specially-ordered equipment cannot be resold, we cannot accept returns on such products. Returns must be made within 30 days of the shipment date to you.

If you have placed an order by email, telephone, PO submission or our website’s
shopping cart, please be aware that it may have already been shipped. We will make every effort to stop any order that has not left our dock, if we can, but if your order has been shipped, you are responsible for the order and payment of our invoice. Custom-built equipment cannot be cancelled once your order is placed.

Service and Support

TechRack endeavors to provide first line of support for the products it sells. For end-user Customers, TechRack promises that its support people will attempt to handle over the telephone any problem involving TechRack products. However, TechRack's support people may not be able to understand or resolve any given problem. Service offerings may vary from product to product. TechRack has no obligation to provide service or support until TechRack has received full payment for the product or service/support contract for which service or support is requested.

Warranties

TechRack makes no express warranties except those stated in this section. Any such warranties will be effective, and TechRack will be obligated to honor any such warranties, only upon TechRack’s receipt of payment in full for the item to be warranted. Techrack disclaims all other warranties, express or implied, including without limitation implied warranties of merchantability and fitness or use for a particular purpose. TechRack's responsibility for warranty claims is limited solely to one year from purchase date for repair or replacement. TechRack reserves the right to modify its warranty at any time, in its sole discretion

TechRack will not be liable for lost profits, loss of business or other consequential, special, indirect or punitive damages, even if advised of the possibility of such damages, or for any claim by any third party. The customer is responsible for providing TechRack with accurate address, shipping details and credit card information. All terms, conditions and obligations of sale are to be performed in Dallas, Dallas County, Texas.
